AMBASSADOR PROGRAM


TERMS, CONDITIONS, PRIVACY & COMMUNITY POLICY

IMPORTANT NOTICE


These Ambassador Program Terms, Conditions, Privacy & Community Policy (“Terms,” “Agreement,” or “Policy”) establish the rules, requirements, expectations, privacy practices, community standards, content requirements, payment conditions, and operating procedures applicable to participation in the Zyno Global Brand Ambassador Program (“Ambassador Program,” “Program,” or “Community”).


The Ambassador Program is operated by Zyno Global Brand LLC (“ZGB,” “we,” “our,” or “us”).


These Terms apply to individuals who apply to, are accepted into, participate in, communicate with, receive products through, create content for, accept campaigns from, or otherwise engage with the ZGB Ambassador Program.


This may include:


  • New Ambassadors
  • Existing Ambassadors
  • Returning Ambassadors
  • Product-seeding Ambassadors
  • Gifted-product recipients
  • UGC creators
  • Beauty creators
  • Skincare creators
  • Affiliate Ambassadors
  • Referral participants
  • Product testers
  • Focus-group participants
  • Event participants
  • Pop-up participants
  • Paid collaborators
  • Unpaid collaborators
  • Social-media creators
  • Community members participating in ZGB campaigns


By applying to, accepting participation in, accepting a campaign from, receiving Program benefits, or otherwise participating in the ZGB Ambassador Program, you acknowledge that you have had an opportunity to review these Terms and agree to comply with the provisions applicable to your participation.


If you do not agree to these Terms, you should not participate in the applicable Ambassador activity.



PART I — THE ZGB AMBASSADOR COMMUNITY


1. PURPOSE OF THE AMBASSADOR PROGRAM


The ZGB Ambassador Program is designed to build a genuine community around Zyno Global Brand and connect ZGB with creators, customers, skincare enthusiasts, beauty lovers, UGC creators, communities, and individuals who are interested in discovering and sharing their experiences with ZGB.


The Program may provide opportunities for members to:


  • Discover ZGB products
  • Receive selected products
  • Test products
  • Create content
  • Share product experiences
  • Provide product feedback
  • Participate in campaigns
  • Participate in product launches
  • Participate in focus groups
  • Participate in community discussions
  • Receive referral opportunities
  • Participate in affiliate opportunities
  • Participate in giveaways
  • Participate in brand events
  • Participate in pop-ups
  • Participate in creator activations
  • Participate in paid collaborations
  • Participate in UGC campaigns
  • Contribute to the ZGB creator community


The Program may evolve as ZGB develops new products, markets, campaigns, partnerships, community initiatives, and creator opportunities.


Participation in the Program does not guarantee that any particular opportunity will be offered to any particular Ambassador.



2. AMBASSADOR ELIGIBILITY AND AGE REQUIREMENT


Unless a campaign-specific agreement states otherwise, Ambassadors must generally be at least 18 years old to participate independently in the Program.


Certain opportunities may have additional eligibility requirements based on:


  • Age
  • Country of residence
  • Location
  • Platform availability
  • Product availability
  • Campaign requirements
  • Payment requirements
  • Applicable laws
  • Tax requirements
  • Identity-verification requirements


ZGB may establish different eligibility requirements for specific campaigns.


Where ZGB permits participation by a person under 18, additional parental or legal-guardian requirements may apply.



3. NATURE OF AMBASSADOR PARTICIPATION — THIS IS NOT A JOB


The ZGB Ambassador Program is not a job, employment position, internship, or guaranteed source of income.


Participation in the Program does not, by itself, create:


  • An employer-employee relationship
  • A salary relationship
  • A guaranteed-hours relationship
  • An agency relationship
  • A partnership
  • A franchise
  • A joint venture
  • A fiduciary relationship
  • A representative relationship


An Ambassador is not an employee of ZGB merely because the Ambassador receives products, compensation, commissions, rewards, campaign payments, invitations, or other Program benefits.


Ambassadors are independent participants and, where they provide services for compensation and applicable law recognizes the relationship as an independent-contractor relationship, they are responsible for operating independently and complying with applicable legal and tax requirements.


Nothing in these Terms is intended to override applicable law regarding worker classification. Worker classification is determined under applicable law based on the actual facts and circumstances of the relationship, not merely by the title used by the parties. U.S. federal guidance similarly distinguishes independent contractors from employees based on the nature and degree of control in the relationship. (IRS)


Except where expressly authorized in writing, Ambassadors may not represent that they:


  • Own ZGB
  • Work as an employee of ZGB
  • Are an officer or executive of ZGB
  • Are an authorized legal representative of ZGB
  • Have authority to sign contracts for ZGB
  • Have authority to bind ZGB
  • May make financial commitments on behalf of ZGB
  • May make legal statements on behalf of ZGB
  • May hire or terminate individuals on behalf of ZGB


Ambassadors may identify themselves as ZGB Ambassadors when participating in authorized Ambassador activities.



4. NO GUARANTEE OF OPPORTUNITIES


Membership in the Ambassador Program does not guarantee:


  • Products
  • Free products
  • Product samples
  • Product-seeding opportunities
  • Paid campaigns
  • UGC campaigns
  • Affiliate opportunities
  • Referral commissions
  • Discounts
  • Giveaways
  • Event invitations
  • Pop-up invitations
  • Focus-group invitations
  • Travel opportunities
  • Rewards
  • Recognition
  • Brand partnerships
  • A specific number of campaigns
  • A specific amount of compensation
  • A minimum amount of income


ZGB may determine which opportunities are available based on legitimate Program considerations, including:


  • Campaign objectives
  • Inventory
  • Geography
  • Shipping availability
  • Audience suitability
  • Product availability
  • Content requirements
  • Timing
  • Platform requirements
  • Campaign budget
  • Operational capacity
  • Applicable law



5. EXISTING AND NEW AMBASSADORS


These Terms apply to both existing and newly approved Ambassadors.


Ambassadors who joined the Program before the Effective Date may be subject to these updated Terms while they remain active members of the Program.


ZGB may communicate updates through:


  • Ambassador communications
  • Official social-media channels
  • Ambassador forms
  • Campaign materials
  • Website updates
  • Email communications
  • Other official Program communications


Where legally required, ZGB may provide additional notice of material changes.


Continued participation after an updated version becomes effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.



PART II — AMBASSADOR ACCOUNT & COMMUNITY REQUIREMENTS


6. AMBASSADOR INFORMATION


Ambassadors may be required to provide accurate and current information when participating in certain Program activities.


Depending on the activity, this may include:


  • Full legal name
  • Preferred name
  • Date of birth
  • Country of residence
  • State, province, or region
  • City
  • Shipping address
  • Telephone number
  • Social-media usernames
  • Social-media profile URLs
  • Content category
  • Audience information
  • Payment information
  • Tax information
  • Identity-verification information
  • Product preferences
  • Campaign preferences


ZGB will seek to request information reasonably necessary for the applicable Program activity.



7. ACCURACY OF INFORMATION


Ambassadors are responsible for providing accurate information.


Ambassadors must not knowingly provide:


  • False names
  • False addresses
  • False identity information
  • False social-media information
  • Fraudulent payment information
  • False campaign analytics
  • Misleading audience statistics
  • Impersonated accounts
  • Information belonging to another person without authorization


If an Ambassador discovers that information previously provided to ZGB is inaccurate, the Ambassador should take reasonable steps to correct it.



8. SOCIAL-MEDIA ACCOUNTS


Ambassadors may be required to maintain an active social-media account for particular opportunities.


An active account may be relevant for:


  • Social campaigns
  • UGC campaigns
  • Product launches
  • Gifting campaigns
  • Paid collaborations
  • Affiliate campaigns
  • Ambassador recognition
  • Brand activations


ZGB may review publicly available social-media information for legitimate Program purposes.


ZGB does not require Ambassadors to provide their private social-media passwords.



9. ZGB AMBASSADOR INSIDER COMMUNITY


ZGB may operate an official Ambassador Insider or Community account, group, channel, server, platform, or other communication space.


Ambassadors may be encouraged or required to follow official Program channels to receive information regarding:


  • Campaigns
  • Gifting opportunities
  • Product releases
  • Giveaways
  • Events
  • Product testing
  • Focus groups
  • UGC campaigns
  • Referral opportunities
  • Affiliate opportunities
  • Ambassador announcements
  • Important Program updates


Ambassadors are responsible for making reasonable efforts to remain informed about opportunities communicated through official Program channels.



10. COMMUNITY PARTICIPATION


ZGB seeks to maintain a Community environment that is:


  • Respectful
  • Professional
  • Inclusive
  • Supportive
  • Creator-friendly
  • Product-focused
  • Authentic
  • Transparent


Ambassadors are expected to communicate respectfully with:


  • Other Ambassadors
  • ZGB Team members
  • Customers
  • Creators
  • Partners
  • Event representatives
  • Community members



11. COMMUNITY CONDUCT


Ambassadors must not engage in conduct that materially interferes with the Program or harms another person.


Prohibited conduct may include:


  • Harassment
  • Threats
  • Bullying
  • Intimidation
  • Discrimination
  • Hate speech
  • Fraud
  • Impersonation
  • Deliberate misinformation
  • Manipulation of Program systems
  • Unauthorized access
  • Sharing another person’s private information
  • Repeated abuse of community resources
  • Deliberate misuse of ZGB products or promotional materials


ZGB may review reported conduct and take appropriate action under these Terms and applicable law.



PART III — PRODUCT GIFTING & SEEDING


12. PRODUCT GIFTING


ZGB may provide products to selected Ambassadors without monetary payment as part of:


  • Product gifting
  • Product seeding
  • Product testing
  • UGC campaigns
  • Reviews
  • Launch campaigns
  • Community initiatives
  • Sampling campaigns
  • Creator campaigns


Receiving a gifted product does not guarantee future gifting.



13. UP TO TWO PRODUCTS


For applicable gifting opportunities, an eligible Ambassador may be offered up to two products, subject to:


  • Product availability
  • Campaign eligibility
  • Geographic availability
  • Shipping availability
  • Inventory
  • Campaign objectives
  • Applicable gifting requirements


“Up to two products” does not mean that every Ambassador is entitled to two products.


ZGB may provide one product, two products, or another arrangement where a particular campaign specifies different terms.



14. GIFTING FORMS


ZGB may provide separate gifting forms depending on an Ambassador’s location.


Different forms may be used for:


  • United States
  • United Kingdom
  • European Union
  • Other international markets


Ambassadors must provide their actual location and complete the applicable form.


Submitting a gifting form does not guarantee approval, product selection, or shipment.



15. GIFTING ACTIVATION


ZGB may collect gifting information before a gifting campaign officially becomes active.


Where this occurs:


  1. Ambassadors may complete the applicable form.
  1. ZGB may review eligibility and location.
  1. ZGB may communicate when gifting becomes active.
  1. ZGB may determine available products.
  1. Approved products may be processed for fulfillment.
  1. Products may be shipped according to applicable fulfillment arrangements.


Completion of a form should not be interpreted as confirmation that a product has been approved or shipped.



16. PRODUCT AVAILABILITY


Not every ZGB product is available in every country.


Products may be available for:


  • Worldwide shipping
  • United States shipping
  • United Kingdom shipping
  • European Union shipping
  • Selected international markets


Shipping availability may change at any time based on operational, regulatory, inventory, manufacturing, fulfillment, or carrier considerations.



17. SHIPPING RESTRICTIONS


Product availability may depend on:


  • Fulfillment location
  • Carrier availability
  • Customs
  • Import requirements
  • Local laws
  • Product restrictions
  • Inventory
  • Regional distribution arrangements
  • Manufacturing arrangements


Ambassadors may therefore receive different product options depending on their location.



18. SHIPPING INFORMATION


Ambassadors are responsible for providing accurate and complete shipping information.


Where delivery failure results from inaccurate or incomplete information supplied by an Ambassador, ZGB may decline to cover additional shipping or reshipment costs to the extent permitted by applicable law.


Ambassadors should promptly contact the Official Ambassador Support Email regarding significant delivery problems.



19. DAMAGED, MISSING, INCORRECT, OR DEFECTIVE PRODUCTS


Ambassadors should promptly contact:

if they receive:


  • A damaged package
  • A missing product
  • An incorrect product
  • A product with damaged packaging
  • A product that appears defective
  • A product that raises a genuine safety concern


ZGB may request reasonable supporting information, including photographs, videos, order information, or shipping information.



20. PRODUCT SAFETY CONCERNS


Ambassadors should promptly report serious product-safety concerns or suspected adverse reactions to:

Ambassadors should not make unsupported medical claims about a product or represent a personal reaction as a guaranteed result for another person.


Where appropriate, Ambassadors should discontinue use of a product and seek qualified medical advice for serious or concerning reactions.



PART IV — CONTENT & CREATOR REQUIREMENTS


21. AMBASSADOR CONTENT


Ambassador Content” means photographs, videos, reviews, captions, testimonials, social-media posts, UGC, product demonstrations, or other creative materials submitted to ZGB or created as part of an applicable ZGB campaign.


Ambassadors may be invited to create:


  • Instagram posts
  • Instagram Reels
  • Instagram Stories
  • TikTok videos
  • YouTube videos
  • YouTube Shorts
  • Threads posts
  • Product photography
  • UGC videos
  • Unboxing content
  • Tutorials
  • Product demonstrations
  • Testimonials
  • Skincare routines
  • Lifestyle content
  • Other campaign-specific content



22. CONTENT AUTHENTICITY


Ambassador Content must be genuine and accurately represent the Ambassador’s experience.


Ambassadors must not knowingly:


  • Fabricate product experiences
  • Invent product results
  • Copy another creator’s content
  • Submit another person’s content as their own
  • Manipulate campaign evidence
  • Create fraudulent reviews
  • Falsify analytics
  • Misrepresent product usage



23. PHOTOS AND VIDEOS


Ambassadors participating in applicable campaigns may be required to submit photographs or videos.


Requirements may include content showing:


  • Product packaging
  • Product texture
  • Product application
  • Product routine
  • Product usage
  • Unboxing
  • Lifestyle use
  • Product experience
  • Other campaign-specific material


Specific campaign requirements will be communicated in the applicable campaign brief.



24. CONTENT QUALITY


Where a campaign includes content requirements, Ambassadors should make reasonable efforts to ensure that content is:


  • Clear
  • Well-lit
  • Understandable
  • Original
  • Relevant
  • Authentic
  • Suitable for the applicable platform
  • Consistent with the campaign brief


ZGB may provide creative direction for particular campaigns.



25. CONTENT DEADLINES


Campaign briefs may specify deadlines for:


  • Content creation
  • Posting
  • Review submission
  • UGC submission
  • Analytics submission
  • Campaign forms
  • Product feedback


Ambassadors should communicate promptly if circumstances may prevent timely completion.


ZGB may, at its discretion, provide reasonable extensions.


Repeated failure to meet accepted campaign obligations may affect eligibility for future opportunities.



26. TAGGING ZGB


Where required by a campaign, Ambassadors may be asked to:


  • Tag the official ZGB account
  • Use campaign hashtags
  • Invite ZGB as a collaborator
  • Mention ZGB in captions
  • Provide published links
  • Follow campaign-specific posting instructions



27. COLLABORATOR INVITATIONS


Where a social-media platform supports collaboration functionality, Ambassadors may be asked to invite the official ZGB account as a collaborator.


A collaborator invitation does not guarantee that ZGB will accept it.


ZGB may accept, decline, or otherwise manage collaboration invitations based on the applicable campaign.



28. CONTENT DISCLOSURE


Ambassadors must comply with applicable advertising-disclosure laws, regulations, and platform rules.


A disclosure may be required where an Ambassador receives:


  • Free products
  • Payment
  • Commission
  • Rewards
  • Discounts
  • Other material incentives


ZGB may provide campaign-specific disclosure instructions.


Ambassadors remain responsible for ensuring that their disclosures comply with applicable requirements.



PART V — CONTENT RIGHTS


29. AMBASSADOR OWNERSHIP


Unless a separate written agreement states otherwise, Ambassadors retain ownership of their original creative content.


Nothing in these Terms automatically transfers ownership of an Ambassador’s copyright or other intellectual-property rights to ZGB.



30. ORGANIC CONTENT LICENSE


Where an Ambassador voluntarily submits eligible Ambassador Content to ZGB or participates in a campaign that expressly provides for organic content usage, the Ambassador grants ZGB a non-exclusive, royalty-free license to use that applicable content for organic ZGB marketing and Program-related purposes, subject to applicable law and the applicable campaign terms.


Organic use may include:


  • ZGB social-media accounts
  • ZGB website
  • Product pages
  • Email marketing
  • Newsletters
  • Organic social reposts
  • Community communications
  • Brand presentations
  • Other non-paid promotional channels


Where reasonably practical, ZGB may provide creator credit.


Unless a campaign-specific agreement states otherwise, this organic license does not transfer ownership of the Ambassador’s underlying content.



31. NO AUTOMATIC PAID ADVERTISING RIGHTS


Organic content permission does not automatically authorize ZGB to use Ambassador Content for paid advertising.


Paid advertising rights include, without limitation:


  • Paid advertisements
  • Boosted posts
  • Whitelisting
  • Spark Ads
  • Paid social campaigns
  • Creator licensing for paid advertisements
  • Paid media placements
  • Other paid promotional placements


If ZGB wishes to use Ambassador Content for paid advertising, ZGB may request separate authorization or enter into a separate agreement.



32. CREATOR REPRESENTATIONS


By submitting content, an Ambassador represents that they have the necessary rights and permissions to provide the content for the applicable campaign.


Ambassadors should not submit content containing unauthorized:


  • Music
  • Images
  • Video clips
  • Logos
  • Artwork
  • Third-party footage
  • Copyrighted material


unless the Ambassador has appropriate permission or licensing.



33. THIRD-PARTY RIGHTS


Ambassadors are responsible for obtaining appropriate permissions for identifiable individuals who appear in content where such permission is legally required.


Ambassadors should not intentionally submit content that violates another person’s:


  • Privacy rights
  • Publicity rights
  • Copyright
  • Trademark rights
  • Other applicable legal rights



PART VI — REVIEWS & TESTIMONIALS


34. HONEST REVIEWS


ZGB encourages genuine feedback.


Ambassadors may provide positive, neutral, or negative opinions based on their actual experiences.


Participation in a campaign does not require an Ambassador to provide a favorable opinion unless permitted by applicable law and expressly stated in an applicable agreement.


Reviews must not knowingly contain false statements presented as facts.



35. WEBSITE REVIEWS


Where a campaign requires a website review:


  • The Ambassador should have genuinely used the applicable product.
  • The review should reflect the Ambassador’s actual experience.
  • The review should not be fabricated.
  • The review should not be copied from another person.
  • The review should not be created solely to mislead consumers.



36. PRODUCT CLAIMS


Ambassadors must not knowingly make unsupported medical or therapeutic claims about ZGB products.


Ambassadors must not represent that a cosmetic or skincare product:


  • Cures a disease
  • Treats a medical condition
  • Guarantees a medical outcome
  • Replaces professional medical treatment
  • Produces guaranteed results for every consumer


unless such claims are specifically authorized and legally supported.



PART VII — UGC PROGRAM


37. UGC OPPORTUNITIES


ZGB may offer separate UGC opportunities to selected creators.


UGC may include:


  • Product videos
  • Talking-to-camera videos
  • Voiceovers
  • Tutorials
  • Demonstrations
  • Unboxings
  • Product photography
  • Testimonials
  • Lifestyle content
  • Educational content


UGC may be requested with or without public posting depending on the campaign.



38. UGC CAMPAIGN TERMS


A UGC campaign may specify:


  • Number of assets
  • Video length
  • Orientation
  • Resolution
  • File format
  • Script requirements
  • Talking points
  • Deadline
  • Usage rights
  • Compensation
  • Revision requirements


Campaign-specific terms control where they expressly differ from these general Program Terms.



PART VIII — PAID COLLABORATIONS


39. PAID CAMPAIGNS


ZGB may offer paid collaborations to selected Ambassadors.


Paid collaborations are separate opportunities and are not guaranteed by Program membership.


Before accepting a paid campaign, an Ambassador should review:


  • Compensation
  • Deliverables
  • Deadlines
  • Posting requirements
  • Content requirements
  • Usage rights
  • Disclosure requirements
  • Payment conditions



40. PAYMENT PROCESS


Payment may require:


  • Completion of deliverables
  • Verification of deliverables
  • Submission of required links
  • Submission of analytics where applicable
  • Invoice or equivalent payment documentation where applicable
  • Identity verification
  • Tax documentation
  • Payment-account verification


Not every requirement applies to every campaign.



41. PAYMENT TIMELINE


Unless otherwise stated in a separate written campaign agreement, approved payments are generally processed within 30–60 days after applicable campaign requirements have been completed and verified.


The payment period may begin only after all applicable requirements have been satisfied.


ZGB may use third-party payment processors.



PART IX — INDEPENDENT CONTRACTOR, TAXES & FINANCIAL RESPONSIBILITY


42. NO SALARY OR EMPLOYEE BENEFITS


Ambassadors do not receive a salary, hourly wage, employee benefits, paid leave, health insurance, retirement benefits, unemployment benefits, or other employee benefits merely because they participate in the Program or complete a campaign.


Any compensation is based on the specific campaign or agreement accepted by the Ambassador.



43. INDEPENDENT FINANCIAL RESPONSIBILITY


Except where applicable law requires otherwise, Ambassadors are responsible for their own financial and tax obligations arising from money, commissions, rewards, free products, discounts, or other compensation or benefits they receive through the Program.


Ambassadors are responsible for determining and complying with the tax laws applicable to them based on their country, state, residence, citizenship, tax status, and other relevant circumstances.


For U.S. independent contractors, compensation may constitute self-employment or nonemployee income, and tax obligations may include income tax and self-employment tax. The IRS states that independent contractors are generally self-employed and may have their own tax-reporting and payment obligations. (IRS)


ZGB does not promise to pay, reimburse, gross up, or otherwise cover an Ambassador’s personal income taxes, self-employment taxes, social-security taxes, Medicare taxes, state taxes, local taxes, VAT, GST, or similar personal tax obligations unless a separate written agreement expressly provides otherwise.



44. TAX WITHHOLDING AND REPORTING


Although Ambassadors are responsible for their own applicable tax obligations, ZGB may be required by law to:


  • Request tax forms
  • Request taxpayer-identification information
  • Report payments to tax authorities
  • Issue tax forms
  • Apply required withholding
  • Collect information required for tax compliance


Nothing in these Terms prevents ZGB from complying with a legal withholding or reporting obligation.


For example, U.S. tax rules may require information reporting for certain payments to independent contractors, and withholding can apply in specific circumstances. (IRS)


An Ambassador is responsible for providing accurate tax information when requested.



45. NO TAX ADVICE


ZGB does not provide individual tax, legal, accounting, immigration, or financial advice to Ambassadors.


Ambassadors should consult an appropriately qualified professional regarding their individual obligations.



46. PAYMENT INFORMATION


Ambassadors participating in paid campaigns may be asked to provide information necessary to process compensation.


ZGB will not require every Ambassador to provide banking information.


Payment information may include:


  • Account holder name
  • Bank account identifier
  • Payment-provider information
  • Payment address
  • Currency
  • Transaction information



PART X — AFFILIATE, REFERRAL & REWARD PROGRAMS


47. AFFILIATE OPPORTUNITIES


ZGB may provide affiliate opportunities to selected Ambassadors.


Affiliate arrangements may include:


  • Affiliate links
  • Referral codes
  • Commission
  • Customer discounts
  • Performance-based rewards


Affiliate terms may vary by campaign.



48. REFERRAL PROGRAMS


ZGB may introduce referral programs that reward eligible Ambassadors for referring new customers or community members.


Referral programs may contain separate requirements regarding:


  • Eligible referrals
  • Minimum purchases
  • Referral validation
  • Reward amounts
  • Payment methods
  • Fraud prevention
  • Reward expiration



49. REWARD ELIGIBILITY


Rewards may be subject to verification.


ZGB may withhold or review a reward where there is reasonable evidence of:


  • Fraud
  • Duplicate accounts
  • Self-referrals
  • Artificial transactions
  • Manipulation
  • Unauthorized referral activity
  • Other prohibited conduct



PART XI — IDENTITY VERIFICATION & PERSONAL INFORMATION


50. HOW ZGB COLLECTS PERSONAL INFORMATION


ZGB may collect personal information directly from Ambassadors through:


  • Applications
  • Ambassador forms
  • Gifting forms
  • Campaign forms
  • Payment forms
  • Surveys
  • Product-testing forms
  • Focus-group forms
  • Communications
  • Content submissions
  • Event registration

  • Other information made available through the applicable platform


ZGB does not require Ambassadors to provide private social-media passwords.



53. U.S. IDENTITY AND TAX VERIFICATION


For certain paid collaborations, financial transactions, referral programs, reward programs, tax procedures, fraud prevention, or other legitimate purposes, U.S.-based Ambassadors may be asked to provide appropriate identity or tax information.


Depending on the circumstances, this may include:


  • Legal name
  • Date of birth
  • Address
  • Tax identification information
  • SSN
  • ITIN
  • Last four digits of an SSN
  • Other information legally necessary for verification


An SSN is not automatically required simply because someone joins the Ambassador Program.


Where sensitive information is necessary, ZGB may use an authorized verification provider.


Ambassadors should never send an SSN, ITIN, passport number, banking password, PIN, authentication code, or similar sensitive credential through ordinary email.



54. INTERNATIONAL IDENTITY VERIFICATION


International Ambassadors may be asked to provide appropriate identity information where required for:


  • Payment
  • Fraud prevention
  • Identity verification
  • Tax compliance
  • Referral programs
  • Reward programs
  • Financial transactions
  • Other legitimate Program purposes


Depending on the country, this may include:


  • National ID
  • Passport
  • Government-issued identification

Specific requirements may differ by country.



55. SENSITIVE INFORMATION


Ambassadors should not send unnecessary sensitive information through ordinary communications.


Where identity information is required, ZGB may direct the Ambassador to an appropriate secure verification process.

  • Banking information

56. THIRD-PARTY VERIFICATION PROVIDERS


ZGB may use third-party providers for:

The applicable provider may process information necessary to complete the requested service.


Where a third-party service requires secure authentication, Ambassadors should use the provider’s official secure interface and should not send login credentials directly to ZGB.

However, no online system can guarantee absolute security.


Ambassadors should never provide ZGB with:

  • PINs
  • Authentication codes
  • Security-question answers
  • Private login credentials


through ordinary communications.



62. DATA RETENTION


ZGB may retain information for as long as reasonably necessary for:


  • Program administration
  • Campaign records
  • Payment records
  • Tax requirements
  • Legal requirements
  • Fraud prevention
  • Dispute resolution
  • Compliance
  • Legitimate business purposes


When information is no longer reasonably necessary, it may be deleted, anonymized, or otherwise disposed of in accordance with applicable requirements.

Participation in the Program does not guarantee selection for a giveaway.



68. AMBASSADOR RECOGNITION


ZGB may recognize Ambassadors for contributions to the Community.

  • Early access
  • Invitations
  • Giveaways
  • Other benefits


Recognition is discretionary and does not guarantee compensation.

Selected Ambassadors may be invited to test products before or after launch.


Testing may involve:


  • Product feedback
  • Surveys
  • Interviews
  • Written reviews
  • Video feedback
  • Product-use observations
  • Packaging feedback
  • Customer-experience feedback



70. UNRELEASED PRODUCTS


Ambassadors may receive information about products that have not yet been publicly launched.


Such information may be confidential.


Ambassadors must not publicly disclose unreleased product information unless ZGB has authorized disclosure.



71. FOCUS GROUPS


ZGB may invite selected Ambassadors to focus groups concerning:

Participation may be voluntary unless a separate written agreement states otherwise.

Unless expressly stated otherwise, an event invitation does not automatically include:

  • Travel insurance
  • Personal expenses
  • Other travel-related costs


Where ZGB agrees to cover expenses, the applicable event terms will state what is covered.

ZGB may provide:

Codes may have specific conditions and expiration dates.



75. CODE MISUSE


Ambassadors must not intentionally misuse codes.

  • Fraudulent self-referrals

  • Misrepresentation
  • Artificial transactions
  • Unauthorized resale of codes
  • Manipulation of referral systems


ZGB may deactivate codes where misuse is identified.

77. NO UNAUTHORIZED REPRESENTATION


Being an Ambassador does not authorize an Ambassador to:


  • Sign contracts for ZGB
  • Make financial commitments for ZGB
  • Make legal statements for ZGB
  • Hire people for ZGB
  • Speak officially on behalf of ZGB
  • Create binding obligations for ZGB
  • Represent themselves as a ZGB employee


An Ambassador’s personal opinions do not automatically constitute statements made by ZGB.



PART XIX — CONFIDENTIALITY


78. CONFIDENTIAL PROGRAM MATERIALS


Confidential information may include:


  • Private campaign briefs
  • Private forms
  • Unreleased products
  • Launch dates
  • Internal campaign information
  • Private compensation information
  • Private creator information
  • Internal business information
  • Private Community communications


Ambassadors must not intentionally disclose confidential information without authorization.



79. SCREENSHOTS, RECORDINGS & PRIVATE MATERIALS


Ambassadors must not publicly distribute, publish, reproduce, or otherwise misuse private Ambassador materials where doing so would disclose confidential information or violate Program rules.


This includes private:


  • Forms
  • Campaign briefs
  • Internal documents
  • Creator information
  • Compensation information
  • Community communications
  • Unreleased product information


This restriction does not apply to information that becomes publicly available through no breach of these Terms or information that an Ambassador is legally required to disclose.



PART XX — SOCIAL-MEDIA INTEGRITY


80. AUTHENTIC AUDIENCE


Ambassadors should maintain authentic social-media participation.


ZGB may consider publicly available indicators of audience authenticity where relevant to campaign selection.


Ambassadors must not intentionally misrepresent:


  • Followers
  • Engagement
  • Views
  • Reach
  • Audience demographics
  • Campaign performance



81. PROHIBITED ARTIFICIAL ENGAGEMENT


Ambassadors must not intentionally use:


  • Purchased followers
  • Fake views
  • Bots
  • Fake comments
  • Artificial engagement
  • Fraudulent analytics
  • Other deceptive methods


to manipulate campaign performance.



PART XXI — RESPONSIBLE PRODUCT COMMUNICATION


82. RESPONSIBLE PRODUCT COMMUNICATION


Ambassadors should communicate about ZGB products responsibly.


Ambassadors must not knowingly make unsupported claims regarding:


  • Medical treatment
  • Disease prevention
  • Guaranteed results
  • Clinical outcomes
  • Medical diagnosis
  • Medical treatment replacement



83. PERSONAL EXPERIENCE


When discussing a product, Ambassadors should distinguish between:


  • Their personal experience
  • General product information
  • Claims officially provided by ZGB


Personal experiences must not be represented as guaranteed outcomes for every consumer.



PART XXII — SUSPENSION, REMOVAL & VOLUNTARY WITHDRAWAL


84. PROGRAM SUSPENSION


ZGB may temporarily suspend an Ambassador’s participation where reasonably necessary to review:


  • Potential fraud
  • Confidentiality concerns
  • Campaign violations
  • Payment issues
  • Identity concerns
  • Community complaints
  • Other Program-related issues


Where appropriate, ZGB may provide the Ambassador with an opportunity to respond.



85. PROGRAM REMOVAL


ZGB may remove an Ambassador from the Program for serious or repeated violations.


Potential grounds may include:


  • Fraud
  • False information
  • Impersonation
  • Confidentiality violations
  • Harassment
  • Abuse of Program resources
  • Repeated failure to complete accepted campaign obligations
  • Fake engagement
  • Misuse of discount codes
  • Unauthorized disclosure of confidential information
  • Material violations of campaign-specific terms
  • Other material violations of these Terms



86. VOLUNTARY WITHDRAWAL


An Ambassador may request to leave the Program by contacting:

Leaving the Program does not automatically cancel obligations relating to:


  • Accepted campaigns
  • Outstanding payments
  • Confidentiality
  • Content rights
  • Intellectual property
  • Privacy
  • Taxes
  • Other obligations that by their nature survive participation



87. EFFECT OF REMOVAL OR WITHDRAWAL


Removal or withdrawal from the Program does not automatically eliminate obligations that arose before removal or withdrawal.

  • Content
  • Intellectual property
  • Privacy
  • Taxes
  • Outstanding campaign requirements


may continue where appropriate.



PART XXIII — CAMPAIGN-SPECIFIC TERMS

Individual campaigns may contain additional requirements concerning:

  • Reviews
  • Content usage
  • Posting
  • Hashtags

  • Collaboration
  • Analytics
  • Disclosure

Ambassadors should carefully review campaign-specific instructions before accepting an opportunity.



89. ACCEPTING A CAMPAIGN


Where an Ambassador accepts a campaign, the Ambassador should make reasonable efforts to complete the applicable requirements.


Accepting a campaign may create obligations beyond general Ambassador membership.



90. ORDER OF PRECEDENCE


Where a campaign-specific written agreement expressly conflicts with these general Terms, the campaign-specific agreement will control only with respect to that specific campaign, unless prohibited by applicable law.


A campaign-specific agreement does not automatically amend these general Terms for other Program activities.



PART XXIV — PROGRAM ADMINISTRATION


91. PROGRAM CHANGES


ZGB may modify, suspend, expand, reduce, or discontinue aspects of the Ambassador Program when reasonably necessary.


This may include changes to:


  • Gifting
  • Product availability
  • Campaigns
  • Rewards
  • Referral programs
  • Affiliate programs
  • Events
  • UGC opportunities
  • Payment procedures
  • Community channels


Changes to the general Program do not automatically modify a separate written agreement governing an already accepted paid campaign unless that agreement permits such modification.



92. PRODUCT AVAILABILITY CHANGES


Product availability may change due to:


  • Inventory
  • Manufacturing
  • Fulfillment
  • Shipping
  • Regulatory requirements
  • Geographic restrictions
  • Business operations


ZGB may substitute an available product where reasonably necessary.



93. OPERATIONAL DELAYS AND UNCONTROLLABLE EVENTS


ZGB may experience delays or disruptions caused by circumstances beyond its reasonable control, including:


  • Shipping disruptions
  • Fulfillment delays
  • Manufacturing delays
  • Customs restrictions
  • Platform outages
  • Technical issues
  • Carrier interruptions
  • Government restrictions
  • Natural disasters
  • Severe weather
  • Public emergencies
  • Third-party service interruptions
  • Other circumstances beyond reasonable control

  • Product-safety concerns
  • Program questions



95. COMMUNICATION EXPECTATIONS


Ambassadors should provide sufficient information when contacting ZGB regarding a Program matter.


Where applicable, an Ambassador may be asked to provide:


  • Name
  • Campaign name
  • Relevant order or campaign information
  • Social-media handle
  • Description of the issue
  • Screenshots where appropriate


Ambassadors should not include unnecessary sensitive information.



PART XXVI — THIRD-PARTY SERVICES


96. THIRD-PARTY SERVICES


ZGB may rely on third-party services to operate portions of the Ambassador Program.


These may include services supporting:


  • Payment
  • Banking
  • Identity verification
  • Fulfillment
  • Shipping
  • Referral tracking
  • Affiliate tracking
  • Campaign management
  • Email delivery
  • Website operation
  • Technical support
  • Data storage


Each provider may process information according to its applicable terms and privacy practices.



97. UNIQUE AMBASSADOR IDENTIFIERS


Where necessary to connect different Program systems, ZGB or its service providers may use a unique internal identifier associated with an Ambassador.


This identifier may help:


  • Connect payment records
  • Connect referral records
  • Connect verification records
  • Manage campaign participation
  • Prevent duplicate records


It does not necessarily contain the Ambassador’s name or other directly identifying information.



PART XXVII — TAXES, CUSTOMS & INTERNATIONAL COSTS


98. AMBASSADOR TAX RESPONSIBILITY


Each Ambassador is responsible for determining and paying taxes legally applicable to their own participation, income, commissions, rewards, or other taxable benefits.


This may include, depending on the Ambassador’s circumstances:


  • Federal income tax
  • State income tax
  • Local income tax
  • Self-employment tax
  • Social-security-related taxes
  • Medicare-related taxes
  • VAT
  • GST
  • Sales-related obligations
  • Other applicable taxes or government charges


ZGB does not promise to pay an Ambassador’s personal tax liabilities or reimburse taxes unless a separate written agreement expressly states otherwise.



99. TAX FORMS AND REPORTING


Ambassadors must provide accurate tax information when legally required.


ZGB may request forms or information necessary to comply with applicable reporting or withholding obligations.


ZGB may report payments to relevant tax authorities where required.


Nothing in these Terms prevents ZGB from withholding or reporting amounts when required by applicable law.



100. CUSTOMS, IMPORT TAXES & DUTIES


International Ambassadors may be responsible for customs duties, import taxes, brokerage charges, VAT, GST, or other government-imposed charges associated with receiving products, unless ZGB expressly states otherwise for a particular campaign.


Product availability and delivery may also be affected by customs or import restrictions.



PART XXVIII — GOVERNING LAW & LEGAL TERMS


101. GOVERNING LAW


These Terms are intended to be governed by the laws applicable to Zyno Global Brand LLC in the United States, together with applicable federal law, without regard to conflict-of-law principles, except to the extent that mandatory laws of an Ambassador’s jurisdiction cannot lawfully be excluded or waived.


Nothing in these Terms is intended to deprive an Ambassador of mandatory rights or protections that cannot legally be waived.


Because U.S. LLCs are formed under individual state laws rather than under one general “U.S. LLC law,” the specific state of organization should be identified in the final legal version of these Terms.



102. SEVERABILITY


If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by applicable law.



103. NO WAIVER


A failure by ZGB to enforce any provision of these Terms does not constitute a waiver of ZGB’s right to enforce that provision in the future.



104. ENTIRE AGREEMENT


These Terms, together with applicable campaign-specific agreements, forms, briefs, and written Program terms, constitute the applicable agreement governing participation in the ZGB Ambassador Program.


A separate written agreement may supplement or modify these Terms for a particular campaign.



105. NO ASSIGNMENT OF AUTHORITY


An Ambassador may not assign, transfer, or delegate their Program membership, campaign obligations, or rights under these Terms without ZGB’s written authorization where such authorization is required.



PART XXIX — AMBASSADOR ACKNOWLEDGMENT


106. ACKNOWLEDGMENT


By participating in the ZGB Ambassador Program, the Ambassador acknowledges:


☐ I have read and understood these Ambassador Program Terms, Conditions, Privacy & Community Policy.


☐ I understand that the ZGB Ambassador Program is not a job or employment position.


☐ I understand that Ambassador membership does not make me an employee of Zyno Global Brand LLC.


☐ I understand that Ambassador membership does not guarantee a salary, wages, hours, products, campaigns, or income.


☐ I understand that paid opportunities are separate campaigns and are not guaranteed.


☐ I understand that I am responsible for my own applicable tax obligations.


☐ I understand that ZGB does not promise to pay or reimburse my personal taxes unless a separate written agreement expressly states otherwise.


☐ I understand that ZGB may be required to collect tax information or report payments to tax authorities.


☐ I understand that ZGB may be required to withhold taxes in certain circumstances.


☐ I understand that I must provide accurate tax information when required.


☐ I understand that I am responsible for applicable customs, import taxes, duties, or similar charges unless ZGB states otherwise.


☐ I understand that I may receive up to two products under applicable gifting opportunities, subject to eligibility and availability.


☐ I understand that receiving a product is not guaranteed.


☐ I understand that completing a gifting form does not guarantee approval or shipment.


☐ I understand that not every ZGB product ships worldwide.


☐ I understand that I may be required to create photographs, videos, reviews, or other content for applicable campaigns.


☐ I agree to follow applicable campaign instructions and deadlines.


☐ I agree to provide authentic content.


☐ I agree not to fabricate reviews, testimonials, product experiences, or campaign results.


☐ I agree not to manipulate campaign analytics.


☐ I agree not to intentionally use fake engagement.


☐ I agree to comply with applicable advertising and disclosure requirements.


☐ I understand that I retain ownership of my original content unless otherwise agreed.


☐ I understand that eligible Ambassador Content may be licensed to ZGB for organic marketing purposes as described in these Terms.


☐ I understand that organic content usage does not automatically authorize paid advertising use.


☐ I understand that separate authorization may be required for paid advertising.


☐ I agree not to knowingly infringe another person’s intellectual-property, privacy, or publicity rights.


☐ I agree not to make unsupported medical or therapeutic claims about ZGB products.


☐ I understand that ZGB may collect personal information necessary to administer the Program.


☐ I understand that additional information may be required for payment, identity verification, tax compliance, referral, affiliate, or reward programs.


☐ I understand that U.S.-based Ambassadors may be asked for appropriate tax or identity information, including SSN or ITIN information, when legally or operationally required.


☐ I understand that international Ambassadors may be asked for appropriate government-issued identification or tax information where verification is required.


☐ I understand that sensitive information should be provided only through appropriate secure verification processes.


☐ I understand that I should never send my passwords, PINs, authentication codes, or private login credentials to ZGB.


☐ I understand that ZGB may use authorized third-party providers for identity verification, payment, fulfillment, referral, rewards, banking, and related Program services.


☐ I understand that approved payments are generally processed within 30–60 days after applicable requirements have been completed and verified unless otherwise stated in a campaign agreement.


☐ I understand that ZGB may introduce giveaways and monthly Ambassador recognition.


☐ I understand that ZGB may introduce focus groups and product-testing opportunities.


☐ I understand that ZGB may introduce pop-ups, events, and other brand activations.


☐ I understand that confidential Program information must not be publicly disclosed without authorization.


☐ I understand that ZGB may update the Ambassador Program and these Terms.


☐ I understand that campaign-specific terms may apply to individual opportunities.


☐ I understand that campaign-specific written terms may control where they expressly conflict with these general Terms for that particular campaign.


☐ I understand that violations of these Terms may affect my participation in the Program.


☐ I understand that I may voluntarily request to leave the Program.


☐ I understand that privacy-related requests may be submitted to the Official Ambassador Support Email.


☐ I understand that the only official Ambassador support email under these Terms is ambassador@zynoglobalbrand.com.



PART XXX — FINAL COMMUNITY STATEMENT
